1. Agreement to Terms

3. Service Agreements & Pricing

Specific pricing, deliverables, timelines, and payment terms for each service engagement will be outlined in a separate Service Agreement or Statement of Work ("SOW") provided to you prior to commencing services. All pricing is subject to change with reasonable notice. Services will not commence until a signed agreement and any required deposit or payment has been received.

4. Payment Terms

Payment terms are specified in individual service agreements. Generally:

• Invoices are due upon receipt unless otherwise agreed in writing
• Late payments may incur a fee of 1.5% per month on outstanding balances
• We reserve the right to suspend services for accounts more than 30 days past due
• All fees are non-refundable unless otherwise stated in the applicable service agreement

5. No Guarantee of Results

Key Digital Enterprises, Inc. provides AI consulting, coaching, and marketing services based on industry best practices and our professional expertise. However, we do not guarantee specific business outcomes, revenue increases, lead generation numbers, or other measurable results. Business results depend on numerous factors outside our control, including market conditions, client implementation, competition, and economic factors.

Any case studies, testimonials, or examples of results shared are not guarantees of similar outcomes for your business.

6. Client Responsibilities

To receive the full benefit of our services, you agree to:

• Provide accurate, complete, and timely information required to deliver services
• Designate a point of contact for communications and approvals
• Respond to requests for feedback, approvals, or information within agreed timeframes
• Ensure you have the legal right to use any materials, content, or data you provide to us
• Comply with all applicable laws and regulations in connection with your use of our services

7. Intellectual Property

Upon full payment of all fees, you will own the deliverables specifically created for your business under a service agreement. Key Digital Enterprises retains ownership of all pre-existing tools, templates, methodologies, frameworks, and proprietary systems used in delivering services. We reserve the right to use anonymized project information for portfolio and marketing purposes unless you request otherwise in writing.

8. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive business information shared during the course of the service engagement. This obligation survives the termination of any service agreement. We will not disclose your confidential business information to third parties without your prior written consent, except as required by law.

9a. Age Restriction

Our website, services, and SMS messaging program are intended for individuals who are 18 years of age or older. By submitting any form on our website or engaging our services, you represent and warrant that you are at least 18 years old. We do not knowingly collect personal information from individuals under the age of 18. If we become aware that a person under 18 has submitted their information, we will promptly delete it.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Key Digital Enterprises, Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, arising out of or in connection with our services, even if we have been advised of the possibility of such damages.

Our total liability to you for any claim arising from or related to our services shall not exceed the total amount paid by you to Key Digital Enterprises in the three (3) months preceding the claim.

11. Termination

Either party may terminate a service engagement with written notice as specified in the applicable service agreement. Upon termination, you will pay for all services rendered up to the termination date. We reserve the right to terminate services immediately if you breach these Terms or fail to make required payments.

12. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under these Terms shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in Dover, Delaware, in accordance with the rules of the American Arbitration Association.

13. Website Use

You agree not to use our website to:

• Violate any applicable local, state, national, or international law or regulation
• Transmit any unsolicited or unauthorized advertising or promotional material
• Impersonate any person or entity or misrepresent your affiliation with any person or entity
• Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the website
